Partner Terms
Draft — being reviewed by our lawyers. Last updated 17/10/2026.
A summary of the conditions for partner businesses. The partner contract signed in the dashboard prevails.
1. The service
GINGER DIALOGUE - UNIPESSOAL LDA (NIPC 519653955) provides food businesses ("partners") with an ordering page on Pratoroo, a listing in "Near you", online payment, the business dashboard and the order tools. The partner sells in its own name and is the seller towards the customer.
2. Registration and approval
Registration requires a tax number (NIF), the company or self-employed person's details, the requested documents and signing the partner contract. The Pratoroo team checks the details before approving and publishing the page. We may refuse a registration, stating the reason.
3. The partner's obligations
- Keep the menu, prices (including VAT), allergens, opening hours and delivery conditions correct.
- Accept or decline orders in time and fulfil accepted orders.
- Call the customer and confirm the order before preparing it for every order paid in cash and for own deliveries where Pratoroo shows warning signs: speak with the person who ordered, confirm the order (and the delivery address, when Pratoroo asks) and tick "Confirmed" in the dashboard. An order it cannot confirm may be refused with "Refuse – looks fake": it does not count against the partner and, if it was paid, the money goes back to the customer (the card fee is the partner's, as for any order it refuses).
- Deliver with its own means, following the law (including selling alcohol only to people aged 18 or over).
- Issue the invoice to the customer with certified software.
- Hold the required licences and complaints book.
- Process customer data only to fulfil the order, in line with the GDPR.
4. Commission and payments
- Default commission: 10% of each completed order, including the tip and the delivery fee, minus refunds; it also applies to orders paid at the business.
- No monthly fee and no joining fee.
- Online payments (cards and other methods available): customers pay Pratoroo, which receives the money on the partner's behalf and transfers it by bank transfer to the partner's checked bank account every Tuesday, for the orders of the week before (Monday to Sunday), minus the commission on all orders (also those paid in cash), the payment providers' card fees and refunds. If the result is negative (more commission on cash orders than online sales), it is taken off the next transfers; if it is still owed after 4 weeks, the partner pays it to Pratoroo. The partner gets a report every Monday and an email when each transfer is made.
- The partner gives a bank account in its own name. Pratoroo checks it with a small test transfer (a few cents, with a reference) that the partner sends from that account, and sends the test amount back.
- The tip and the delivery fee belong to the partner; both count for the commission.
- Refunds of online payments: the partner cannot refund from the dashboard. The partner opens a support ticket in the "Help" tab (with the order); the Pratoroo team checks it within 5 working days and, if approved, sends the refund, which reaches the customer within 10 working days. The refunded amount is deducted from the partner's online sales. Pratoroo takes no commission on refunded money: its commission on the refunded part is always given back. When the refund is caused by the partner (wrong or missing food, an order it rejected, cancelled or did not accept in time), the payment processing fee is the partner's.
- Pratoroo invoices the partner for its commission. Statements are in the "Payouts" tab of the dashboard.
5. How we order businesses in "Near you"
The main criteria are: being open now (first those open, then those opening later, then those closed) and the distance to the customer's address; for delivery, only businesses whose delivery area includes the address are shown. The customer can choose another order and filters. No partner pays to appear higher, and all are treated the same way.
6. Suspension and ending the partnership
- We may suspend a page for a serious breach (for example fraud, food safety risks, orders repeatedly not fulfilled), explaining the reason in writing. The partner can respond and ask for a review.
- Either party may end the partnership with 30 days' written notice, except for a serious breach.
- The partner can pause orders at any time in the dashboard.
7. Data
In the dashboard the partner has access to its orders, the customer data needed to fulfil them, and sales reports. Pratoroo uses order data to provide the service, invoice its commission and comply with the law.
8. Changes
We tell partners about changes to these conditions at least 15 days in advance. A new version of the partner contract may have to be signed in the dashboard by the date given; after that date the business stops receiving new orders until it signs.
9. Partner complaints
Write to [email protected]. We look at every complaint and answer in writing. If it is not resolved, the parties may use mediation before going to court.
10. Applicable law
Portuguese law.
